Supplier Lead Terms

1. Platform Status

IngredientsWorldwide.com operates as an introducer-only B2B sourcing platform. No agency, partnership, joint venture, brokerage, fiduciary, or representative relationship is created.

Supplier Lead Services are available to business entities only and are not offered to consumers.

Nothing in these terms grants either party authority to bind or represent the other.

2. Qualified Enquiry Definition

A "Qualified Enquiry" means a commercial enquiry submitted via the platform that contains contact details and a stated commercial interest.

IngredientsWorldwide.com does not verify the identity, legitimacy, authority, financial standing, purchasing capacity, or intent of any enquirer. Suppliers are solely responsible for conducting their own due diligence and commercial assessment before entering into any transaction.

Buyer requests submitted via IngredientsWorldwide.com sourcing forms or request submission pages are not classified as standard listing enquiries and may be subject to separate access terms, allocation decisions, and fees.

For the avoidance of doubt, buyer requests are not included within any listing plan or standard enquiry allocation and are handled separately by the Platform.

2A. Buyer Request Handling Routes

Buyer requests submitted via the platform's sourcing request form are handled under one of three routes. The route affects whether and how a Qualified Enquiry is chargeable to suppliers:

• Standard route: The requirement is forwarded to relevant suppliers as a Qualified Enquiry. Suppliers may submit responses; standard prepaid lead access fees under Sections 3 to 6 apply. Buyer contact details are released only after pricing is agreed and cleared funds are received.
• Optional Buyer Advertising Listing route: Where the buyer has elected to publish the requirement as a paid advertising brief on a named or anonymised basis for a defined period, supplier responses are forwarded directly to the buyer without per-lead charges to the supplier. The buyer's advertising fee is solely for publication and visibility of the brief and does not constitute payment to unlock or access supplier details.

Across all routes, the platform does not verify buyers, does not guarantee responses, does not negotiate, and remains introducer-only. Sections 8, 8A, 9, and 12 apply equally regardless of route.

3. Separate Charge Per Enquiry Event

Each independently submitted Qualified Enquiry received via IngredientsWorldwide.com constitutes a separate chargeable lead.

An enquiry submitted through the platform is chargeable irrespective of whether the supplier has previously received contact from, engaged with, or conducted business with the same individual or company.

The charge applies to the enquiry event generated via IngredientsWorldwide.com and not to ownership, exclusivity, or control of any buyer relationship.

IngredientsWorldwide.com reserves the right, acting reasonably, to determine whether materially identical duplicate submissions received within a short period constitute a single enquiry event.

4. Pricing (No Public Pricing)

Lead pricing and service options are determined at the time of enquiry and agreed in writing prior to release. Lead pricing is not published publicly.

Pricing may vary based on demand conditions, advertising costs, category, geography, enquiry characteristics, supplier preferences, and internal allocation models.

IngredientsWorldwide.com reserves the right to decline or refuse to supply lead services prior to pricing confirmation.

Pricing is confirmed in writing prior to release and constitutes acceptance of the service terms upon payment.

No lead is released until pricing is agreed and cleared funds are confirmed.

5. Prepayment & Cleared Funds

Lead services operate strictly on a prepaid basis unless otherwise agreed in writing.

Cleared funds must be confirmed before any enquiry details are released.

6. Immediate Lead Release

Upon confirmation of cleared payment, full enquiry details will be released to the supplier.

IngredientsWorldwide.com does not withhold lead details pending questionnaire responses or further engagement.

7. Optional Bundled Add-On: One-Time Communication Relay

Where selected and prepaid as part of a bundled lead service, IngredientsWorldwide.com may send a single supplier-provided questionnaire or written request for clarification to the enquirer and forward any written response received.

This service is strictly limited to one-time communication relay only.

IngredientsWorldwide.com does not negotiate, mediate, interpret responses, assess credibility, verify information, or provide endorsement or guarantee.

The add-on service is fulfilled once the questionnaire or clarification request has been sent. No guarantee is made that a response will be received.

If the supplier cancels the add-on before the questionnaire is sent, the add-on fee may be refunded at IngredientsWorldwide.com's discretion.

8. No Guarantee of Outcome

Forwarded enquiries do not guarantee a transaction, contract, order, revenue outcome, response, or ongoing relationship.

8A. Nature and Timing of Enquiries

Each Qualified Enquiry represents a genuine expression of interest at a specific point in time. Many enquiries reflect active and ongoing sourcing requirements; however, IngredientsWorldwide.com does not guarantee that an enquirer remains active, responsive, or has not sourced elsewhere at the time of lead release.

Access to a Qualified Enquiry provides a commercial opportunity only and does not guarantee buyer engagement or transaction.

The passage of time between enquiry submission and lead release does not affect the validity of the enquiry as a chargeable lead event.

9. Refund Policy – Limited Exception

Once a Qualified Enquiry has been released, the lead fee is non-refundable.

The sole exception applies where the contact details provided in the enquiry are demonstrably non-functional (objective evidence) and the submission is clearly unusable for any commercial contact (for example, invalid email address and unreachable telephone number).

Speculative interest, preliminary enquiries, light commercial interest, incomplete information, non-responsiveness, or failure to transact do not constitute grounds for refund.

The charge applies to the enquiry event submitted via IngredientsWorldwide.com and not to the commercial outcome of any engagement.

Determination of whether contact details are demonstrably non-functional shall be based on objective evidence.

10. Suspension Rights

IngredientsWorldwide.com reserves the right to suspend or terminate services where payment is outstanding, misuse of enquiry data occurs, or fraudulent or abusive behaviour is suspected.

11. Data Protection & GDPR

IngredientsWorldwide.com acts as an independent Data Controller in respect of buyer enquiry data collected via the platform.

Upon release of an enquiry, the supplier becomes an independent Data Controller of that data.

Buyer data is shared based on legitimate commercial interest and/or consent provided at enquiry submission.

Enquiry data may be used solely for responding to the specific commercial enquiry and must not be resold, distributed, or used for unrelated marketing.

Suppliers are solely responsible for their compliance with UK GDPR and applicable data protection legislation and must implement appropriate technical and organisational safeguards.

Suppliers agree to indemnify and hold harmless IngredientsWorldwide.com against claims arising from their misuse of enquiry data.

Buyer enquiry data is retained only for as long as reasonably necessary for legitimate business purposes.

12. No Reliance

Suppliers acknowledge that they do not rely on any statement, representation, assessment, opinion, or implication made by IngredientsWorldwide.com regarding the quality, seriousness, legitimacy, authority, or commercial viability of any enquiry.

13. Limitation of Liability

To the fullest extent permitted by law, IngredientsWorldwide.com shall not be liable for indirect, incidental, consequential, or loss-of-profit damages arising from use of lead services.

Total liability shall not exceed the amount paid for the specific lead in dispute.

14. Force Majeure

IngredientsWorldwide.com shall not be liable for delay or failure to perform due to events beyond its reasonable control, including technical failures, hosting interruptions, payment processing delays, or communication outages.

15. Electronic Acceptance

Agreement to these Supplier Lead Terms may be provided electronically, including via website form submission, email confirmation, and/or payment of the agreed lead fee. Electronic acceptance constitutes binding agreement.

16. Entire Agreement

These terms, together with agreed pricing confirmation and electronic acceptance, constitute the entire agreement relating to Supplier Lead Services.

17. Variation

Updated terms apply to future services only.

18. Severability

If any provision is deemed unenforceable, remaining provisions remain in effect.

19. Governing Law

These terms are governed by the laws of England and Wales.
